Terms of Service

These Terms of Service ("Terms") govern your use of the SizeForZero trading journal platform (the "Service") operated by SizeForZero ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Risk disclosure

Trading financial instruments carries a high level of risk. You could lose some or all of your invested capital. You should not invest money that you cannot afford to lose. By using this Service, you acknowledge that:

• You are solely responsible for your trading decisions and their outcomes.
• The Service does not provide trade signals, recommendations, alerts, or "calls".
• Historical performance data does not guarantee future outcomes.
• Market conditions can change rapidly and unpredictably.
• Any AI-generated reflection is a description of patterns in your past behaviour, not a prediction of future market movements.

3. Eligibility

You must be at least 18 years of age to use the Service. By creating an account, you represent that you meet this requirement and have the legal capacity to enter into these Terms. If you are using the Service on behalf of a business or other entity, you represent that you have authority to bind that entity to these Terms.

4. Account registration and security

To use the Service, you must provide a valid email address. Authentication is passwordless: we send a one-time sign-in link to your email each time you sign in. You are responsible for maintaining the security of the email account associated with your SizeForZero account, and for all activity that occurs under your account.

You agree to provide accurate information during registration and to update it as needed. Notify us immediately at support@sizeforzero.com if you suspect unauthorised access.

4.1 Lost email access

Because authentication is passwordless, losing access to your email means losing the standard sign-in path. If this happens, email us at support@sizeforzero.com from any address with the following identity proof: (a) the last 4 digits of the payment card on file, if you have a paid subscription, and (b) the approximate date of your last trade or import. We will manually verify and re-bind your account to a new email within 5 business days. We may decline if we cannot satisfactorily verify identity.

5. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose, including market manipulation, money laundering, or fraud.
• Attempt to gain unauthorised access to the Service, other users' accounts, or any underlying systems.
• Interfere with or disrupt the Service's infrastructure, including by attempting to circumvent rate limits or API quotas.
• Upload malicious code, viruses, or harmful content.
• Scrape, crawl, or harvest data from the Service without our prior written consent.
• Resell, sublicense, redistribute, or operate a competing service built on top of the Service.
• Use the Service to provide financial advice to others.
• Submit false or fabricated trade data with the intent to mislead the AI processor or any third party.
• Attempt to reverse-engineer, extract, or replicate the AI prompts, system instructions, or model behaviours used by the Service.

6. Subscription tiers and pricing

The Service offers three subscription tiers. Tier names and base monthly prices are set out below; the most current pricing is always shown on our pricing page.

Some tier features may be marked "Coming Soon" — those features are part of the tier you are paying for and will be made available without additional charge as they ship. We will not advertise as live a feature that is not yet shipped.

7. Subscription, billing, and cancellation

Paid subscriptions are billed in advance on a recurring basis (monthly or annual, depending on your plan choice) by our payment processor, Stripe. By subscribing, you authorise us to charge your payment method for the applicable subscription fees, taxes, and any other charges incurred.

Auto-renewal: your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel at any time from Settings → Billing or by emailing support@sizeforzero.com.

Cancellation: takes effect at the end of the current billing period. You retain access to paid features until then. We do not pro-rate refunds for partial periods, except as required by law (see refunds below).

Refunds: if you are dissatisfied with the Service within the first 14 days of a new paid subscription, email us and we will refund the most recent payment in full, no questions asked. After 14 days, refunds are at our discretion. Quebec, BC, and other Canadian consumer-protection laws may grant you additional refund rights, which we honour where they apply.

Price changes: we reserve the right to change pricing with at least 30 days' written notice (by email or in-app). Price changes will not affect a billing period you have already paid for. If you do not agree to a new price, you may cancel before it takes effect.

Taxes: stated prices are exclusive of applicable sales tax, GST, HST, VAT, or similar taxes. Where required by law, we will collect and remit such taxes through Stripe.

8. AI features (Premium tier)

The Premium tier includes AI-generated reflections about your trading patterns, produced by our AI processing partner (currently Anthropic, PBC; see the Privacy Policy §4 for full details on data flow).

Opt-in: AI processing is off by default. You must provide explicit consent at Premium checkout, with two unchecked boxes you tick to continue. You can withdraw consent at any time in Settings.

Honest output disclosure: AI-generated text is probabilistic. While we apply server-side safety filters that block buy/sell recommendations, fabricated tickers, and predictions, no filter is perfect. You agree that:

• AI reflections are descriptive observations, not advice or predictions.
• AI may occasionally produce errors, unclear text, or observations that do not match your data perfectly.
• You will not act on AI-generated content as if it were professional financial advice.
• You are responsible for verifying anything you choose to rely on.

Usage limits: to keep AI cost-efficient and to prevent accidental over-use, we apply per-day refresh caps and a per-month budget per user. Current limits are documented in-app and may be adjusted with notice.

No model training: our AI processor does not train its models on customer API data, per the processor's commercial terms. We do not train any AI model on your data either.

Right to disable AI on our end: we may temporarily disable AI features for maintenance, safety incidents, or vendor outages. We will not charge a separate fee or extend your billing for AI downtime, but we will issue a credit if Premium AI features are unavailable for more than 7 consecutive days within a billing period.

9. Your data and content

You retain ownership of all trade data, journal entries, notes, tags, and other content you submit to the Service ("Your Content"). By submitting Your Content, you grant us a limited, worldwide, royalty-free licence to store, process, and display it back to you as part of providing the Service. We do not claim ownership of Your Content and we do not use it to train AI or other models.

Export: you may export Your Content at any time in CSV (and JSON for AI insights) from Settings → Data.

Deletion: you may delete Your Content or your entire account at any time. Upon account deletion, Your Content will be permanently removed from our active systems within 30 days, and from backups within an additional 30 days, except where retention is required by law.

10. Service availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, third-party outages, or circumstances beyond our reasonable control. Where commercially reasonable, we will give advance notice of planned maintenance windows.

We do not commit to a specific uptime percentage at this stage of the Service's lifecycle. As we mature we may publish a service-level agreement separately for paid tiers.

11. Limitation of liability

To the maximum extent permitted by applicable law, SizeForZero and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to:

• Trading losses, missed opportunities, or any damages arising from your reliance on AI-generated content.
• Loss of data or profits.
• Errors or inaccuracies in analytics, calculations, or AI output.
• Service interruptions, downtime, or vendor outages.
• Unauthorised access to your account that did not result from our gross negligence.

Our total cumulative liability for any claim arising from or relating to the Service shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) one hundred Canadian dollars (CAD $100). Some jurisdictions do not allow the exclusion of certain damages, so some of these limitations may not apply to you to the extent prohibited by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless SizeForZero, its officers, directors, employees, contractors, and agents from any and all claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms or applicable law, your trading activities, or any content you submit to the Service.

13. Intellectual property

The Service, including its design, code, brand, content, and documentation, is owned by SizeForZero and protected by applicable intellectual property laws. The "SizeForZero" name and logo are trademarks of SizeForZero. You may not copy, modify, distribute, publicly display, publicly perform, reproduce, republish, or create derivative works from the Service without our prior written consent, except as expressly permitted by these Terms or by applicable law.

14. Third-party services

The Service may include links to or integrations with third-party services (e.g. Stripe for payments, Anthropic for AI processing). We are not responsible for the availability, accuracy, or content of third-party services, nor for their privacy practices outside of what our subprocessor agreements require. Your use of those services is governed by their own terms and privacy policies.

15. Force majeure

We will not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to natural disasters, acts of war or terrorism, civil unrest, government action, internet or telecommunications outages, third-party vendor failures, or labour disputes.

16. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms, with or without notice. You may delete your account at any time from Settings → Account. Upon termination, your right to use the Service ceases immediately, but the following sections survive: §1 Disclaimer, §2 Risk, §9 Your Data (the deletion obligations), §11 Limitation of Liability, §12 Indemnification, §13 Intellectual Property, §17 Governing Law, and §19 Miscellaneous.

17. Governing law and dispute resolution

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict-of-law provisions. Any disputes arising from or relating to these Terms or the Service shall be resolved exclusively in the courts of the Province of Ontario, Canada, except that mandatory consumer-protection laws of your province or state may give you additional rights to bring claims in your home jurisdiction.

If you are a resident of Quebec, mandatory consumer-protection laws of Quebec apply where they grant you rights you cannot waive.

18. Changes to these Terms

We may update these Terms from time to time. Material changes — for example, changes to pricing, refund policy, governing law, or AI processing — will be communicated by email and shown as an in-app notice at least 30 days before they take effect. Non-material changes (clarifications, fixes, formatting) take effect immediately upon posting. Your continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.

19. Miscellaneous

These Terms (together with our Privacy Policy) are the entire agreement between you and SizeForZero regarding the Service and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions stay in effect. Our failure to enforce any right is not a waiver of that right. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, with notice to you.
